This End User Licence Agreement ("EULA") is a binding agreement between you ("User") and Nudge ("we", "us", "our") governing your use of the Nudge iOS application ("App"). By downloading or using the App, you agree to these terms. If you do not agree, do not download or use the App.

1. Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App on any Apple-branded device you own or control, subject to these terms and the Apple App Store Terms of Service. This licence does not allow you to use the App on any device you do not own or control, or to distribute the App to third parties.

2. Apple's Role

This EULA is between you and Nudge only, not with Apple. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple is not responsible for addressing any claims by you or any third party relating to the App.

3. What Nudge Does

Nudge is a sports team management and payment reminder app that helps team organisers manage matches, track player availability, and chase outstanding match fees. It is intended for personal, non-commercial use within amateur sports teams and friend groups. Nudge does not process payments and is not a bank, payment processor, or financial institution.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating your account. You must be at least 13 years old to use the App.

5. Acceptable Use

You agree not to use the App to harass, abuse, or send unsolicited messages to other users, impersonate another person or team, attempt to access another user's account without permission, or use the App for any unlawful purpose. We reserve the right to suspend or terminate accounts that violate these terms.

6. Subscriptions and Payments

Free tier — core features are available at no cost.

Nudge Pro — available as a monthly auto-renewable subscription or a one-time lifetime purchase, processed through the Apple App Store.

Auto-renewal — subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

Managing subscriptions — you can manage or cancel your subscription in Settings, then your name, then Subscriptions on your device.

Refunds — all payments are processed by Apple. Refund requests are subject to Apple's standard refund policy. We do not issue refunds directly.

Price changes — we will notify you of any price changes in advance. Continued use after a price change constitutes acceptance of the new price.

7. Payments Between Users

Nudge facilitates the display of payment information between team organisers and players. All payments between users happen via third party services. Nudge is not responsible for any failed transfers, disputes, or funds that go missing between users.

8. Intellectual Property

You retain ownership of any content you upload to the App. By uploading content, you grant us a licence to store and display it within the App to members of your team. You must not upload content that is unlawful, offensive, or infringes third party rights. All other intellectual property in the App, including the Nudge name, logo, and design, belongs to us.

9. Third Party Services

The App may contain links to third party services. We are not responsible for the content or practices of any third party services. Your use of third party services is at your own risk and subject to their own terms.

10. Disclaimers

The App is provided on an "as is" and "as available" basis without warranties of any kind. We do not guarantee the App will be uninterrupted, error-free, or free of viruses. We are not liable for any injuries sustained during activities organised through the App, pitch cancellations, or any other real-world outcomes.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Nudge shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App. In no event shall our total liability to you exceed the amount you paid for the App in the twelve months preceding the claim.

12. Termination

You may delete your account at any time from the Profile screen in the App. We may suspend or terminate your account if you breach these terms. Upon termination, your licence to use the App ceases immediately.

13. Changes to These Terms

We may update these terms from time to time. We will notify you of significant changes via the App or by email. Continued use of the App after changes are posted constitutes acceptance of the revised terms.

14. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
